Terms of Service

These terms are an agreement between CoyoteCast LLC, an Idaho limited liability company ("CoyoteCast", "we", "us"), and the organization using the CoyoteCast service ("you"). The members who post for your organization must follow them too. If your organization has a separate written agreement or quote with us, that agreement controls where it differs from these terms.
The service
CoyoteCast publishes and schedules content your organization submits to the social media accounts your organization connects. Which networks are available depends on each network's own developer approval and can change. We may improve or change features over time.
Accounts
- Your organization chooses who may post for it and is responsible for everything submitted through its members' accounts.
- Keep sign-in details secure, and tell us promptly at support@coyotecast.com if you suspect unauthorized use.
- Only connect social accounts your organization owns or is authorized to manage.
Your content
You keep all rights to the content you submit. You give CoyoteCast a limited license to store, process, format and send that content to the networks you choose, only as needed to provide the service. We don't review content before it's published.
Publishing is immediate
There is no approval step: a submission publishes, or is scheduled, as soon as it's received. You are responsible for what your organization submits. CoyoteCast can't delete content from a network once it's published.
Acceptable use
You may not use CoyoteCast to:
- publish content you don't have the right to post, or that breaks the law;
- violate the terms or policies of any connected network;
- send spam, impersonate others, or mislead people about who is posting;
- post to accounts you aren't authorized to manage;
- interfere with the service or try to access other organizations' data.
Third-party networks
Each network you publish to has its own terms, and your use of it through CoyoteCast is subject to them. By connecting a YouTube channel, you agree to be bound by the YouTube Terms of Service. We aren't responsible for a network's outages, policy changes, or decisions about your accounts or content.
Fees
Fees are agreed with each organization individually, in writing. If you don't pay agreed fees, we may suspend the service after giving you notice.
Suspension and ending service
You can stop using CoyoteCast at any time by telling us. We may suspend or end service for an organization that breaks these terms, or with reasonable notice for any other reason. When service ends, we disconnect your organization's accounts and remove its members' access, and on request delete your stored content as described in the Privacy Policy.
Disclaimer
CoyoteCast is provided "as is" and "as available". To the extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We don't guarantee that every post will publish, publish on time, or that the service will be uninterrupted.
Limitation of liability
To the extent the law allows, CoyoteCast is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, data or goodwill. Our total liability for any claim relating to the service is limited to the fees your organization paid us in the 12 months before the claim.
Governing law
These terms are governed by the laws of the State of Idaho, without regard to its conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Idaho.
Changes
We may update these terms. We'll post the new version here with a new date and, for significant changes, email the organizations using CoyoteCast. Continuing to use the service after a change means you accept the updated terms.
